The information on this website is provided by Coaley Peak® Ltd (registered in England and Wales, company number 11783676; registered office: The Limes, Bayshill Road, Cheltenham, GL50 3AW), trading as Acquisition.co.uk. Please read the following before submitting any domain, agency or website for our review.

1. Marketing material only. Nothing on this website constitutes a formal offer, an invitation to treat in a legal sense, or any binding commitment. The "what we are interested in" content and any other material on this site are illustrative and indicative only. An offer to purchase arises only when, and to the extent that, it is set out in an official offer letter signed by a director of Coaley Peak® Ltd. There are no exceptions, and no email, message, indication, conversation or other communication shall constitute or be relied upon as an offer.
2. Indicative valuations are non-binding. Any estimated offer, valuation, price range or expression of interest communicated by Coaley Peak® Ltd, whether by email, verbally, or by any other means, is non-binding and indicative only. It does not constitute an offer to purchase, and may be revised, withdrawn or refused at any time without notice and without liability.
3. Subject to contract. No legal or contractual obligation arises between Coaley Peak® Ltd and any seller, prospective seller, buyer or other party until and unless a written sale agreement (or equivalent definitive agreement) has been signed by duly authorised representatives of both parties. The phrase "subject to contract" is to be implied throughout all communications until such an agreement is executed.
4. No obligation to respond, offer, or proceed. Coaley Peak® Ltd is under no obligation to respond to any submission, to make an offer, to enter into negotiations, or to proceed to completion. Submissions may be rejected or ignored without explanation, and we reserve the right to withdraw from any discussion at any stage, for any reason or no reason, without liability to any party.
5. Owners only; no brokers, agents or middlemen. Coaley Peak® Ltd deals exclusively with the registered owner of the relevant domain, website or business (or a duly authorised director or officer of the legal entity that owns it). We do not pay any broker fee, finder's fee, success fee, introducer fee, commission, or other consideration of any kind to any third party. By submitting any asset, the submitter warrants that they are the registered owner (or so authorised) and not acting as a broker, agent, finder, scout or representative of a third party, and the submitter shall indemnify Coaley Peak® Ltd against any third-party claim for fees or commission.
6. Submitter warranties and indemnity. Where any person ("the submitter") submits a domain, website or business for our review, the submitter warrants that: (i) the asset is wholly and beneficially owned by the submitter (or by the legal entity on whose behalf they are duly authorised to act); (ii) the asset is free from any charge, lien, encumbrance, option, right of first refusal, or other third-party right; (iii) to the submitter's knowledge, the asset does not infringe any third-party intellectual property rights; (iv) the asset is not the subject of any pending or threatened legal, regulatory, Nominet DRS, ICANN UDRP or similar proceedings; and (v) the asset has not been used for spam, malware, phishing, defamation or any unlawful purpose. The submitter shall indemnify, defend and hold harmless Coaley Peak® Ltd, its directors, officers, employees, agents and affiliates against all losses, costs (including reasonable legal fees), claims, demands and liabilities arising out of or in connection with any breach of these warranties.
7. No warranties from us. Save as expressly set out in a duly executed written sale agreement, all warranties, conditions and representations from Coaley Peak® Ltd (whether express or implied, statutory or otherwise) are excluded to the fullest extent permitted by law, including without limitation any warranty as to title, non-infringement of third-party rights, accuracy of valuations, suitability for any particular purpose, or commercial outcome.
8. Buyer responsibilities. Where a buyer purchases a domain or other asset from Coaley Peak® Ltd, the buyer is solely responsible for conducting all due diligence prior to purchase, including (without limitation) registered and unregistered trademark searches in all relevant jurisdictions, assessment of passing-off risk, review of Nominet DRS / ICANN UDRP precedent, and obtaining independent legal advice. The buyer further indemnifies Coaley Peak® Ltd against any third-party intellectual property or other claim arising from the buyer's use of the asset.
9. Confidentiality. We will use reasonable endeavours to keep submissions and confidential information shared with us during discussions confidential, but absolute confidentiality cannot be guaranteed. Information shared prior to the execution of a mutual non-disclosure agreement is shared at the sender's own risk. Where confidentiality is material, parties should request a written NDA before sharing sensitive information.
10. Independent professional advice required. Any party considering selling a domain, website, agency or business to Coaley Peak® Ltd, or buying a domain from Coaley Peak® Ltd, is strongly advised to take independent legal, financial and tax advice from suitably qualified professionals before entering into any agreement, sharing confidential information, or otherwise proceeding. Coaley Peak® Ltd does not provide legal, financial, tax or investment advice.
11. Not a regulated activity. Coaley Peak® Ltd and Acquisition.co.uk are not authorised or regulated by the Financial Conduct Authority (FCA). Information on this website does not constitute a financial promotion regulated under the Financial Services and Markets Act 2000 or any successor legislation. The acquisition of private companies is not, in itself, a regulated activity for these purposes; however, parties should satisfy themselves as to any applicable regulatory requirements in their own circumstances.
12. Anti-money laundering and sanctions. Coaley Peak® Ltd reserves the absolute right to require any counterparty to provide identification documents, evidence of source of funds, beneficial ownership information, and such further information as we reasonably consider necessary to satisfy ourselves as to the lawful nature of any transaction. We may decline to proceed with, or withdraw from, any transaction at our sole discretion and without giving reasons. We may also be obliged to make disclosures to law enforcement or regulatory authorities under the Proceeds of Crime Act 2002, the Sanctions and Anti-Money Laundering Act 2018, or any other applicable law, and shall not be liable for any loss arising from such disclosures.
13. Limitation of liability. To the fullest extent permitted by law, the total aggregate liability of Coaley Peak® Ltd and its directors, officers, employees, agents and affiliates, arising out of or in connection with any submission, valuation, transaction, sale, use of this website or any related matter, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, shall not exceed the lower of (i) the amount actually paid by the buyer to Coaley Peak® Ltd for the relevant asset under a duly executed sale agreement, and (ii) £100 (one hundred pounds sterling) in respect of any matter not connected with a completed sale. We shall not be liable in any event for indirect, consequential, incidental, special, exemplary or punitive losses, including without limitation loss of profit, revenue, business, goodwill, opportunity, anticipated savings, data or wasted management time. Nothing in this paragraph excludes liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded.
14. Force majeure. Coaley Peak® Ltd shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including (without limitation) acts of God, war, terrorism, civil unrest, pandemic, cyber-attack, internet, registry or registrar outage, regulatory action, or industrial action.
15. Assignment, set-off and waiver. Coaley Peak® Ltd may at any time, without consent, assign, transfer, mortgage, charge, sub-contract or deal with any of its rights or obligations under any agreement with a counterparty. The counterparty may not assign without our prior written consent. We may set off any liability of the counterparty to us against any liability of ours to the counterparty, present or future, liquidated or unliquidated. No failure or delay by Coaley Peak® Ltd in exercising any right shall operate as a waiver, and no waiver is effective unless in writing and signed by an authorised representative.
16. Third-party rights. The Contracts (Rights of Third Parties) Act 1999 shall not apply, save that the directors, officers, employees and agents of Coaley Peak® Ltd may enforce any limitation or exclusion of liability or any indemnity provided for their benefit.
17. Governing law and jurisdiction. All matters arising out of or in connection with this website, any submission, any valuation, and any agreement entered into pursuant to them shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute, whether contractual or non-contractual.
18. Changes; entire agreement. Coaley Peak® Ltd reserves the right to amend, update or withdraw the content of this website (including this notice) at any time without notice. The version of any policy or term in effect at the time a sale agreement is executed shall govern that transaction. These disclosures, together with our Terms & Conditions and Privacy Policy, and any duly executed sale agreement, constitute the entire understanding between the parties in relation to the matters addressed and supersede all prior negotiations, representations and agreements.
